The Kier Company Secretariat team is a small team of qualified chartered secretaries who deliver a traditional core service coupled with a wide range of services to both internal stakeholders (including Board of Kier Group plc), Executive Committee members, Group functions, employees (shareholders) and external stakeholders (principally small retail shareholders).
We're currently recruiting for a Senior Assistant Company Secretary to join the existing Company Secretariat team.
Job Responsibilities
In this exciting Senior Assistant Company Secretary role, you'll take a lead role in the delivery of the AGM and Annual Report including drafting sections of the Annual Report, monitoring external developments and emerging practice. Some experience in project managing the Annual Report would be beneficial. You'll support the Company Secretary on Board and Committee matters and working with the Assistant Company Secretary to ensure an efficient company secretarial service including subsidiary governance and keeping up-to-date with the evolving regulatory and governance landscape. You'll also be responsible for day-to-day compliance with Listing Rules, Disclosure Guidance and Transparency Rules, UK MAR, the Companies Act and other related regulations.
What do we need from you?
A CGI qualified individual with post qualification experience within a Corporate Secretariat function. You'll have strong IT skills and a good working knowledge of GEMS (or similar), Diligent (or other board portal) and IMTrack (or similar). You'll be technically sound and be able to demonstrate a solid understanding of the UK Companies Act, Corporate Governance and UK Listing rules.
